The Fund
TMI Income Fund plc was incorporated in the Isle of Man on 16 July 2009 as a public company limited by shares with number 4115V. The Fund is a body corporate with unlimited duration under the provisions of the Companies Act. The Fund is an "open-ended investment company" and constitutes a "collective investment scheme" for the purposes of the Isle of Man Collective Investment Schemes Act 2008 (CIS Act 2008).
The Fund is a full international scheme in accordance with paragraph 2 of Schedule 2 to the CIS Act 2008 and complies with the requirements of that Act, the Financial Supervision (International Collective Investment Schemes) Regulations 1990 and the Financial Supervision (International Collective Investment Schemes) (Advertising and Scheme Particulars) Regulations 1995.
The registered office of the Fund is at 2nd Floor, Belgravia House, 34/44 Circular Road, Douglas, Isle of Man IM1 1AE. Its head office and principal place of business in the Isle of Man is 2nd Floor, Sixty Circular Road, Douglas, Isle of Man, IM1 1SA
Manager – Abacus Financial Services Limited
The Manager of the Fund is Abacus Financial Services Limited, a private limited company incorporated on 9 September 1994 in the Isle of Man with company registration number 69975C.
Abacus aims to provide a unique and customised service offering to asset managers and funds that want to focus on their core capability on investment activity and outsource the administrative and operational aspects of their Fund.
The Manager's licence under the Financial Services Act 2008 (FSA 2008) covers permission to conduct the Regulated Activity of acting as manager (under Class 3 - sub-class (1) of the Regulated Activities Schedule) to the Fund, being a Full International Scheme, and the Manager is accordingly an authorized person under the FSA 2008. "Regulated Activity" means any activity of a class specified as a regulated activity in any of the Classes set out in Schedule I to the Regulated Activities Order 2011 made under the FSA 2008.
Asset Manager – Thomas Miller Investment (Isle of Man) Limited
The Manager has appointed Thomas Miller Investment (Isle of Man) Limited as the Asset Manager of the assets of each sub-fund. Thomas Miller Investment (Isle of Man) Limited is a boutique investment house and forms part of the Thomas Miller Group, founded in 1885. It is an independent firm in ownership and governance.
Thomas Miller Investment, from its offices in London, Edinburgh and the Isle of Man, have been working with a broad spectrum of long standing clients for over 30 years.
The Asset Manager is a private limited company incorporated on 28 February 1990 in the Isle of Man under the Companies Acts 1931 to 2004 with unlimited duration with company registration number 048181C. It is licensed by the FSC under section 7 of the FSA 2008 to undertake investment business and, as such, is an authorised person under the FSA 2008.
Fiduciary Custodian – BNP Paribas Trust Company (IOM) Limited
The Fund has appointed BNP Paribas Trust Company (IOM) Limited as Fiduciary Custodian, the Fiduciary Custodian was incorporated in the Isle of Man as a private limited company on 1st May 1973 with number 05638C. The Fiduciary Custodian's registered office and principal place of business is at Merchant's House, 24 North Quay, Douglas, Isle of Man, IM1 4LE and is a wholly owned subsidiary of BNP Paribas Securities Services (Holdings) Limited (a company incorporated in Jersey) whose ultimate parent company is BNP Paribas S.A., Paris, a company incorporated in France.
